Investment Criteria


Industries:
Attractive companies of all kinds in growing or stable industries, including, but not limited to:
• Manufacturing
• Services
• Distribution/wholesale
• Retail
• Health Care
• Real estate related
• Transportation
• Energy and utilities
• Media and entertainment
• Telecommunications and technology

Generally not considered:
• Start-up or venture opportunities
• Turn-around situations

Characteristics:
Stable and profitable companies with the following general parameters:
• Historical and recurring revenues and profits
• Strong management teams
• Annual sales of $50 million to $50 billion
• Recurring annual cash flow (EBIT/EBITDA) Minimum: $10 million, No Maximum
• Sustainable operating margins, generally at or above 10%
• Identifiable barriers to entry and sustainable competitive advantage

Transactions:
Controlling interest investments for the following:
• Corporate spin-offs and divestitures
• Going-private transactions
• Management and employee buyouts
• Leveraged recapitalizations
• Industry consolidations
• Family or generational transitions

Investment size:
We seek to invest in companies with minimum enterprise values of
$50 mill, with no maximum – we can successfully win and fund viable
transactions of any size.

Geography:
Companies or opportunities with predominantly U.S. based operations
